If you have a signed master service agreement, order form, data processing agreement, enterprise agreement, or similar written agreement with Timekettle that expressly covers the Services, that agreement controls where it conflicts with these Terms.

If your organization has a signed agreement with Timekettle, these Terms apply only where they do not conflict with that agreement. The signed agreement controls conflicting commercial, security, privacy, support, service-level, dispute, and order-of-precedence terms.

If you use the Services through a self-service account, dashboard, free tier, trial, evaluation, or documentation-only workflow, these Terms govern that use together with any checkout, plan, quota, or dashboard terms shown to you.
SDK-enabled products
SDK-enabled products
If you distribute an app, website, device, or other product that integrates a Timekettle SDK or API, you remain responsible for that product, your end-user relationship, your app permissions, your privacy notices, and your legal basis for processing end-user content.
1. Your use of the Services
Timekettle Developer provides developer tools and services for building products that use speech, translation, real-time communication, offline authorization, model management, diagnostics, and related AI or SDK capabilities. You may use the Services only:- In compliance with these Terms, applicable documentation, your order form, and applicable law.
- For the account, tenant, application, environment, region, and usage tier authorized by Timekettle.
- With appropriate notices, permissions, consents, and security controls for your product and users.
2. Accounts, organizations, and administrators
You are responsible for all activity under your account, API keys, SDK credentials, applications, and organization workspace. You must:- Provide accurate account, organization, billing, and contact information.
- Keep login credentials, API keys, AppSecrets, tokens, private keys, and administrator access secure.
- Promptly revoke credentials that are compromised, unused, exposed, or no longer needed.
- Maintain current administrator and security contacts.
- Ensure that team members use the Services only within their assigned roles and permissions.
3. Developer responsibilities
You control your products, users, configurations, prompts, content, permissions, and integration behavior. You are responsible for:- Providing legally required privacy notices, terms, consent prompts, app store disclosures, third-party SDK lists, and user-rights flows.
- Requesting microphone, network, notification, storage, or other platform permissions only when required by your product.
- Explaining that online translation can process user audio, recognized text, translated text, TTS output, room identifiers, tokens, and diagnostic metadata.
- Avoiding direct identifiers such as phone numbers, email addresses, government IDs, and real names in
externalUserId,installId, or similar SDK fields unless your use case and legal basis support it. - Configuring production domains, keys, tenants, regions, licenses, models, observability, diagnostics, and logging safely.
- Disabling debug logging, audio dumps, text dumps, verbose console output, and test endpoints in production unless they are required and lawfully disclosed.
- Handling end-user requests to access, delete, export, restrict, or stop processing data in your product.
- Testing your integration before release and monitoring it after release.
4. Customer content and AI output
You retain ownership of Customer Content that you or your users submit to the Services. You grant Timekettle and its service providers the rights needed to host, transmit, process, analyze, transform, generate, store, secure, diagnose, and return Customer Content solely to provide, maintain, protect, support, and improve the Services as permitted by your agreement, settings, and applicable law. AI, speech, and translation output may be incomplete, inaccurate, delayed, offensive, unsafe, or unsuitable for a particular use case. You are responsible for evaluating output before relying on it and for using appropriate human review where the output may affect health, safety, legal rights, employment, finance, public services, or other high-impact decisions. Unless your agreement, product setting, or separate consent expressly allows it, Timekettle will not use end-user Customer Content to train generalized AI models.5. SDK and documentation license
Subject to these Terms, Timekettle grants you a limited, non-exclusive, non-transferable, revocable license to use the SDKs, examples, documentation, and developer tools solely to develop, test, and operate applications that use the Services. You may not:- Remove proprietary notices or license notices.
- Copy, modify, or distribute SDKs except as needed to build and distribute your authorized product.
- Reverse engineer, decompile, extract models from, bypass license controls in, or attempt to discover source code or non-public APIs of the Services except where applicable law prohibits this restriction.
- Use SDKs, keys, tokens, or licenses outside the authorized application, tenant, platform, region, device class, or contract scope.
- Use the documentation or examples to create a competing SDK, API, model service, or developer platform that misuses Timekettle confidential information.
6. Acceptable use
You must not use the Services to:- Violate law, privacy rights, intellectual property rights, export controls, sanctions, or platform rules.
- Build or operate products that surveil people unlawfully, capture conversations without required consent, or impersonate people without authorization.
- Process sensitive personal data without required legal basis, notices, consents, safeguards, and retention limits.
- Transmit malware, exploit code, abusive traffic, spam, phishing content, or harmful instructions.
- Attempt to gain unauthorized access to accounts, tenants, devices, networks, systems, models, or data.
- Interfere with rate limits, quotas, abuse prevention, security controls, license checks, billing controls, or monitoring.
- Benchmark or publish comparative performance results in a misleading way or without required approvals where your agreement requires approval.
- Use the Services for emergency services, life-safety systems, legal advice, medical diagnosis, financial advice, or other high-risk uses without a separate written agreement and appropriate controls.
7. Third-party services
The Services may interoperate with third-party SDKs, networks, infrastructure, real-time communication services, observability services, payment providers, hosting providers, support tools, and app platforms. Third-party services are subject to their own terms, policies, availability, and technical requirements. You are responsible for your configuration of third-party services and for making disclosures required by your product, app stores, privacy laws, contracts, and platform policies.8. Fees, quotas, and usage limits
If the Services are offered under a paid plan, you must pay the fees described in the applicable order form, checkout flow, invoice, or service agreement. Fees may be based on seats, applications, API calls, audio minutes, translated characters, model downloads, offline licenses, data transfer, environments, support level, or other usage metrics. You must not avoid or manipulate metering, quotas, billing controls, license checks, or usage limits. We may throttle, suspend, or restrict usage that exceeds plan limits, risks service reliability, violates these Terms, or creates unexpected cost or security exposure. Unless your order form or agreement says otherwise, fees are non-refundable except where required by law or where Timekettle expressly agrees in writing.9. Beta, preview, and experimental features
We may offer beta, preview, experimental, evaluation, or pre-release features. These features may be incomplete, unsupported, rate-limited, changed, withdrawn, or unavailable. You should not use beta or preview features for production workloads unless Timekettle has expressly approved that use in writing.10. Privacy, security, and data processing
Our processing of personal data is described in the Privacy Policy. Browser and documentation-site tracking technologies are described in the Cookie Policy. Where Timekettle processes personal data on your behalf, the applicable data processing terms, service agreement, or order form will describe the parties’ roles, security commitments, subprocessors, transfer mechanisms, and assistance obligations. You remain responsible for your product-specific legal basis, notices, user-rights handling, retention choices, and configuration decisions.11. Confidentiality
Non-public technical, commercial, security, pricing, roadmap, product, credential, benchmark, and integration information disclosed by one party to the other should be treated as confidential if it is marked confidential or would reasonably be understood to be confidential. The receiving party must use confidential information only for the purpose of performing under these Terms or the applicable agreement and must protect it using reasonable care. Confidentiality obligations do not apply to information that is public without breach, already known without restriction, independently developed, or lawfully received from a third party.12. Intellectual property and feedback
Timekettle and its licensors retain all rights in the Services, SDKs, documentation, models, APIs, dashboards, logos, trademarks, and underlying technology. These Terms do not grant rights except as expressly stated. If you provide feedback, suggestions, issue reports, feature requests, or improvement ideas, you grant Timekettle a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided that we do not disclose your confidential information in violation of these Terms.13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if:- You breach these Terms or an applicable agreement.
- Your usage creates security, legal, operational, financial, or service reliability risk.
- Your account is inactive, unpaid, compromised, fraudulent, or used beyond authorized scope.
- We are required to do so by law, platform rule, third-party provider requirement, or court or regulatory order.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Timekettle disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and error-free operation. Timekettle does not warrant that translations, speech recognition, TTS output, model results, diagnostics, logs, or AI-generated content will be accurate, complete, uninterrupted, secure, or suitable for your intended use.15. Limitation of liability
To the maximum extent permitted by law, Timekettle will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business opportunity, or anticipated savings, even if Timekettle has been advised of the possibility of those damages. To the maximum extent permitted by law, Timekettle’s total liability for all claims relating to the Services will not exceed the amounts you paid to Timekettle for the affected Services during the twelve months before the event giving rise to liability, or one hundred U.S. dollars if you used only free Services. Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply only to the extent permitted by law.16. Indemnity
You will defend, indemnify, and hold harmless Timekettle, its affiliates, and their personnel from claims, damages, liabilities, losses, costs, and expenses arising from:- Your products, integrations, configurations, Customer Content, or end-user relationships.
- Your breach of these Terms or applicable law.
- Your failure to provide required notices, permissions, consents, deletion flows, security controls, or third-party disclosures.
- Allegations that your product or Customer Content infringes or violates rights of a third party.
17. Governing law and disputes
If you have a signed agreement or order form with Timekettle, the governing law, venue, dispute process, notices, contracting entity, and order of precedence stated in that agreement apply. For self-service or documentation-only use without a signed agreement, these Terms are governed by the laws identified by the Timekettle contracting entity, checkout flow, developer dashboard, order form, account notice, or mandatory local legal notice. If no governing law is identified for that use, these Terms are governed by the laws of the Hong Kong Special Administrative Region, excluding conflict-of-law rules. The parties will try to resolve disputes through good-faith business discussions before starting formal proceedings, except where urgent injunctive relief, account security, intellectual property protection, or legal compliance requires faster action. Nothing in these Terms limits rights that cannot be waived under applicable law.18. Changes to these Terms
We may update these Terms from time to time. We will provide notice where required by law or where changes materially affect paid production use. Updated Terms become effective on the date stated in the updated version unless a different notice period is required. If you continue using the Services after the updated Terms take effect, you accept the updated Terms. If you do not agree, you must stop using the Services before the updated Terms apply.19. Contact
